The rules of engagement for using the XALEN platform.
By accessing or using the XALEN platform, API, documentation, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you must not use the Service. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify registered users of material changes via email at least 14 days before they take effect.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
You must be at least 18 years old to create an account. One person or legal entity may maintain multiple accounts, but each account must have a unique email address.
API keys are issued in the format xln_live_* (production) and xln_test_* (sandbox). You must not share API keys publicly, embed them in client-side code, or commit them to public repositories.
The Service provides access to AI models, agents, and compute infrastructure through an API. Your use of the API is subject to the following:
Default rate limits are 120 requests per minute for Pay As You Go accounts and 600 requests per minute for Reserved Capacity accounts. Enterprise accounts have custom rate limits as specified in their agreement. Rate limits are enforced per API key.
We target 99.9% uptime for the API (99.99% for Enterprise accounts with SLA). Planned maintenance windows will be communicated at least 48 hours in advance. We are not liable for downtime caused by factors outside our control, including but not limited to internet outages, third-party service failures, or force majeure events.
You own the outputs generated by the models through your API calls, subject to the underlying model licenses. XALEN does not claim ownership of your inputs or outputs. However, we reserve the right to use anonymized, aggregated usage data to improve the Service.
The availability of specific models may change. We will provide at least 30 days' notice before removing a model from the platform. Deprecated models will remain accessible during the notice period.
The Service operates on a prepaid wallet model. You add funds to your wallet and consume them as you use the API. The minimum deposit is $10 USD (or equivalent in INR at the prevailing exchange rate).
Credits are valid for 1 year (365 days) from the date of each purchase. Each deposit starts its own expiry clock. Expired credits are forfeited and non-refundable. We will send reminder notifications at 30 days and 7 days before credit expiry.
All payments are processed through Razorpay. We accept UPI, credit cards, debit cards (Visa, Mastercard, American Express, RuPay), net banking, and wallets. Payments in INR are converted to USD credits at the exchange rate at time of purchase. All prices displayed on the platform are in USD unless otherwise specified.
Unused credits are refundable within 30 days of purchase. After 30 days, credits remain in your wallet until their 1-year expiry but are non-refundable. Refund requests should be sent to billing@xalen.io. Refunds are processed within 5-10 business days to the original payment method.
When your wallet balance reaches zero, API requests will return HTTP 402 (Payment Required). There is no debt accrual, no service interruption penalty, and no account suspension. Service resumes immediately upon adding funds.
GST-compliant invoices are generated automatically for each wallet top-up and are available for download from your dashboard. Enterprise customers may request custom invoicing arrangements including PO-based billing and wire transfer.
You agree not to use the Service to:
We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice, depending on the severity of the violation. For first-time minor violations, we will typically issue a warning and provide 7 days to remedy the issue.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
In summary: we do not sell your data, we do not use your API inputs or outputs to train models (unless you explicitly opt in), and we store data on Google Cloud Platform infrastructure located in India (asia-south1) and the United States (us-central1) with encryption at rest and in transit.
For Enterprise customers, we offer data processing agreements (DPA), data residency options, and custom data retention policies.
The Service, including all software, models, documentation, trademarks, and content created by XALEN, is the intellectual property of XALEN Technology Pvt Ltd. These Terms do not grant you any rights to our IP except the limited license to use the Service as described herein.
You retain all rights to your inputs (prompts, data, configurations) and outputs (model responses generated through your API calls). You grant XALEN a limited, non-exclusive license to process your inputs solely for the purpose of providing the Service.
If you provide feedback, suggestions, or ideas about the Service, you grant XALEN a perpetual, royalty-free license to use that feedback to improve the Service without obligation to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XALEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
XALEN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to XALEN in the 12 months preceding the claim.
AI model outputs are probabilistic and may contain errors. You are responsible for validating and reviewing all outputs before relying on them for any purpose. XALEN does not guarantee the accuracy, completeness, or fitness of any model output for any particular use case.
You may close your account at any time by contacting support@xalen.io. Upon account closure:
We may suspend or terminate your account if you violate these Terms, fail to remedy a violation within the notice period, or if required by law. In cases of severe violations (illegal content, security breaches), termination may be immediate without notice.
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
For Enterprise customers with a separate Master Service Agreement (MSA), the dispute resolution terms in the MSA take precedence over this section.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
